Welcome to Daftrah LLC (“Daftrah”, “Company”, “we”, “our”, or “us”). These Terms of Service and Privacy Policy (“Agreement”) govern your access to and use of the Daftrah platform, website, applications, APIs, billing systems, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be legally bound by this Agreement.
1. Eligibility
You must:
- be at least 18 years old;
- have legal capacity to enter binding agreements;
- use the Services only for lawful business purposes.
You may not use the Services if prohibited by applicable laws or regulations.
2. Nature of Service
Daftrah provides a cloud-based SaaS platform designed for:
- invoicing;
- subscription management;
- accounting workflows;
- employee access management;
- reporting;
- business operations tools.
Daftrah is a software platform only.
Daftrah does NOT provide:
- legal advice;
- accounting advice;
- tax advice;
- financial advisory services;
- CPA services;
- auditing services.
You remain fully responsible for all financial records, taxes, invoices, filings, calculations, and legal compliance generated or managed through the platform.
3. Accounts & Security
You are responsible for:
- maintaining account confidentiality;
- all activities under your account;
- restricting unauthorized access;
- maintaining secure passwords and devices.
We may suspend or terminate accounts suspected of:
- fraud;
- abuse;
- suspicious activity;
- unlawful conduct;
- security threats.
4. Company Verification & Compliance
Daftrah may request:
- company registration documents;
- EIN verification;
- tax certificates;
- identification documents;
- business verification materials.
We reserve the right to:
- approve or reject accounts;
- suspend accounts pending verification;
- remove access for inaccurate or fraudulent information.
Failure to provide requested verification may result in service restriction or termination.
5. Subscription, Billing & Payments
Services may require paid subscriptions.
By subscribing, you authorize recurring billing through Stripe or other payment providers.
Subscriptions may:
- renew automatically;
- charge recurring fees;
- continue until canceled.
You are responsible for:
- maintaining valid payment methods;
- all taxes and government charges;
- all billing activity under your account.
Failure to pay may result in:
- restricted access;
- suspension;
- permanent termination.
Unless required by law, all payments are non-refundable.
6. Trials
Free trials may be offered at our discretion.
We reserve the right to:
- approve or deny trials;
- shorten or terminate trials;
- revoke abuse-related trial access.
At the end of a trial:
- paid billing may begin automatically unless canceled beforehand.
7. Acceptable Use
You may NOT:
- violate laws or regulations;
- commit fraud;
- upload malicious code;
- interfere with infrastructure;
- scrape or reverse engineer the Services;
- abuse APIs or automation systems;
- upload unlawful, harmful, or deceptive content;
- impersonate others;
- use the Services for money laundering or illegal financial activity.
We reserve sole discretion to determine misuse.
8. Intellectual Property
All platform technology, branding, systems, designs, software, databases, workflows, and intellectual property remain exclusively owned by Daftrah LLC.
No ownership rights are transferred to users.
You may not:
- copy;
- resell;
- sublicense;
- modify;
- distribute;
- reverse engineer;
- recreate the platform or any portion of it.
9. User Data
You retain ownership of your uploaded business data.
By using the Services, you grant Daftrah a limited license to:
- store;
- process;
- transmit;
- back up;
- analyze data
solely for operating and improving the Services.
10. Data Collection
We may collect:
- names;
- emails;
- billing information;
- company information;
- uploaded documents;
- IP addresses;
- browser/device information;
- usage analytics;
- payment metadata;
- support communications.
11. Data Sharing
We do NOT sell personal data.
We may share information with:
- hosting providers;
- payment processors;
- cloud infrastructure vendors;
- fraud prevention services;
- analytics providers;
- legal authorities when legally required.
Third-party providers may operate outside your jurisdiction.
12. Data Security
We implement commercially reasonable safeguards.
However:
- no system is completely secure;
- no transmission method is guaranteed secure;
- users assume inherent internet-related risks.
You acknowledge that use of cloud software carries unavoidable cybersecurity risks.
13. Service Availability
The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
We do NOT guarantee:
- uninterrupted availability;
- error-free operation;
- permanent uptime;
- compatibility with all devices;
- data preservation under all circumstances.
Maintenance, outages, attacks, provider failures, or technical problems may occur.
14. Limitation of Liability
To the maximum extent permitted by law, Daftrah LLC and its affiliates shall NOT be liable for:
- indirect damages;
- lost profits;
- lost revenue;
- business interruption;
- tax penalties;
- accounting errors;
- data loss;
- reputation damage;
- consequential damages;
- special damages;
- punitive damages.
Your exclusive remedy is discontinuation of the Services.
Our total liability shall never exceed the amount paid by you to Daftrah during the previous 3 months.
15. No Warranty
We disclaim all warranties, express or implied, including:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted service;
- financial accuracy;
- legal compliance.
We do not warrant that the Services will meet every business, accounting, legal, or tax requirement.
16. Indemnification
You agree to defend, indemnify, and hold harmless Daftrah LLC from any claims, liabilities, damages, losses, expenses, or legal fees arising from:
- your use of the Services;
- your uploaded content;
- your invoices or financial records;
- violations of law;
- disputes with customers, employees, or third parties.
17. Account Suspension & Termination
We may suspend or terminate access immediately, with or without notice, for:
- non-payment;
- abuse;
- fraud;
- policy violations;
- legal risk;
- platform security concerns.
We reserve the right to permanently delete inactive or terminated accounts subject to operational and legal requirements.
18. Third-Party Services
The Services may integrate with third parties including:
- Stripe;
- Supabase;
- Vercel;
- analytics tools;
- cloud providers.
We are not responsible for third-party outages, actions, policies, or failures.
Your use of third-party services is governed by their own agreements.
19. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control including:
- cyberattacks;
- infrastructure failures;
- internet outages;
- natural disasters;
- wars;
- labor disputes;
- government actions.
20. Arbitration & Waiver
Any dispute arising from these Services shall be resolved through binding arbitration in Wyoming, United States.
You waive:
- jury trial rights;
- participation in class actions;
- consolidated legal proceedings.
Disputes must be brought individually.
21. Governing Law
This Agreement shall be governed exclusively by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
22. Modifications
We may modify these Terms at any time.
Continued use of the Services after updates constitutes acceptance of revised Terms.
